Directory Terms, Disclaimer, Release, and Hold Harmless Agreement

Instructions: Before accessing this contractor directory (“Directory”), please read
this Directory Terms, Disclaimer, Release, and Hold Harmless Agreement
(“Agreement”) carefully. By checking the box and clicking “I Agree” and
accessing this Directory, you hereby acknowledge and agree to the
following:

1. Informational Directory Only. The Shasta County Fire Safe Council, a
California non-profit public benefit corporation (“SCFSC”) provides this Directory
for informational and community education purposes only. SCFSC does not
endorse, recommend, certify, warrant, guarantee or approve any any listed
individual, contractor, vendor, business, or service provider listed in the Directory
(collectively, “Listed Person” and each a “Listed Person”) or any work, product,
or service offered or performed by any Listed Person, including without limitation
the quality, safety, legality, availability, pricing, insurance, licensing, code or other
compliance with laws, workmanship, effectiveness, or fitness for any particular
purpose.

2. Limited Listing Criteria; No Certification. Inclusion of a Listed Person
means only that such Listed Person submitted information or documentation
responsive to SCFSC’s minimum Directory-listing criteria as of the applicable
listing or renewal date. SCFSC does not guarantee that any information remains
current, complete, or accurate. License, insurance, personnel, ownership,
discipline, complaint, and qualification status may change at any time. SCFSC
does not conduct background checks, verify every license classification, inspect
work, monitor continuing compliance, or certify any provider’s competence, safety,
legality, or suitability for any project.

3. No Agency; No SCFSC Control or Supervision. Each Listed Person is an
independent third party and is not, by virtue of being listed in the Directory or
offering or performing any work, product or service, an employee, agent,
representative, partner, joint venturer, affiliate, subcontractor, or independent
contractor of SCFSC. SCFSC does not act as a referral broker, employer,
contractor, construction manager, project manager, supervisor, owner’s
representative, inspector, design professional, permitting authority, or guarantor
with respect to any Listed Person or any work, product, or service offered or
performed by any Listed Person. SCFSC is not a party to any agreement between
you and any Listed Person and does not control, supervise, direct, manage,
inspect, approve, warrant, or guarantee any Listed Person’s work, products,
services, representations, pricing, scheduling, means or methods, materials,
safety practices, licensing, insurance, permitting, code or other compliance with
laws, performance, payment, or completion.

4. Your Independent Due Diligence. You understand, acknowledge and
hereby agree that you are solely responsible for evaluating, selecting, hiring,
contracting with, and supervising any Listed Person you choose and any work,
product, or service offered or performed by any Listed Person. Before purchasing
any work, product or service, or entering into any agreement with any Listed
Person, you must independently verify current license status and license
classification, insurance coverage, bonding, permits, regulatory compliance,
references, written contract terms, scope of work, pricing, and suitability for your
specific property and project needs.

5. No Reliance. You may not rely on any information in the Directory, or any
SCFSC communication as a recommendation, certification, guarantee, or
assurance that any Listed Person is qualified, properly licensed, insured, safe,
compliant, or suitable for your needs.

6. Assumption of Risk. You understand and expressly assume all risks
associated with selecting, hiring, purchasing, contracting with, installing, using, or
relying on any Listed Person or any work, product, or service offered or performed
by any Listed Person, including any risk of property damage, personal injury,
economic loss, fire-related loss, regulatory non-compliance, defective work, delay,
non-performance, or other harm.

7. Release of Liability.
a. For purposes of this Agreement, “SCFSC Parties” means SCFSC
and its current and former officers, directors, employees, volunteers,
committee members, agents, representatives, affiliates, consultants,
vendors, and third-party service providers retained by SCFSC, but in all
instances only when acting within the course and scope of their duties or
services for or on behalf of SCFSC. “SCFSC Parties” does not include any
Listed Person solely by virtue of being listed in the Directory, and no Listed
Person is released, indemnified, held harmless, or otherwise protected by
this Agreement with respect to its own acts, omissions, representations,
services, products, workmanship, or contractual obligations.
b. Except to the extent prohibited by applicable law, you hereby release
and discharge the SCFSC Parties from any and all claims, demands,
actions, damages, liabilities, losses, judgments, settlements, costs, and
expenses (including attorneys’ fees and costs) (collectively, “Losses”),
whether known or unknown, arising out of or related to (a) your access to or
use of this Directory; (b) your selection, hiring, contracting or engagement
with, use of any Listed Person or any work, product, or service offered or
performed by any Listed Person, or reliance on any other Directory
information; or (c) any act or omission of any Listed Person.

8. Indemnification and Hold Harmless. Except to the extent prohibited by
applicable law, you shall defend, indemnify, and hold harmless the SCFSC Parties
from and against any and all Losses incurred in connection with any third-party
claim, demand, action, or proceeding arising out of or related to: (a) your breach
or alleged breach of this Agreement; (b) your violation of applicable law or any
third-party rights; (c) any information, content, communication, representation,
review, complaint, or other material you submit to SCFSC or through the Directory;
(d) your selection, hiring, contracting with, payment of, direction of, supervision of,
or interaction with any individual or entity listed in the Directory, , but only to the
extent the claim arises from your acts, omissions, representations, obligations,
property, project, or contract with that individual or entity; or (e) your property,
project, contract, representations, instructions, directions, acts, or omissions in
connection with or related to access or use of the Directory or any individual, entity,
product, service, or transaction identified through it.

9. No Warranties. The Directory and all information contained in or linked from
it are provided “as is” and “as available”, without warranties of any kind, express
or implied, including but not limited to implied warranties of merchantability, fitness
for a particular purpose, accuracy, completeness, title, and non-infringement.

10. Limitation of Liability. Except to the extent prohibited by applicable law,
the SCFSC Parties shall not be liable for any indirect, incidental, consequential,
special, exemplary, or punitive damages, or for any lost profits, lost revenue, loss
of use, loss of data, loss of goodwill, or other economic loss even if advised of the
possibility of such damages.

11. Limited Beneficiaries; No Benefit to Listed Persons. The release,
indemnity, hold harmless, warranty-disclaimer, and limitation-of-liability provisions
of this Agreement are intended solely for the benefit of the SCFSC Parties and not
for the benefit of any Listed Person solely by virtue of being listed in the Directory.

12. Governing Law; Severability. This Agreement shall be governed by
California law, without regard to its conflict of law principles. If any provision is held
invalid or unenforceable, the remaining provisions will remain in effect to the fullest
extent permitted by law.
